Delivery Condition

Delivered at Buyer’s Address (Transport Arranged by Seller)

1. Delivery and Transfer of Risk

Bulldozer Film AS arranges transport of the goods to the Buyer’s specified delivery address.
 Risk of loss, damage, or deterioration transfers to the Buyer at the moment the goods are physically delivered at the agreed delivery location.
 The Buyer is responsible for having a representative available to receive and sign for the goods.

2. Transport Arranged by Seller

 Unless otherwise agreed in writing:
 - Transport costs may be invoiced to the Buyer,
 - Estimated delivery times are non-binding,
 - The Seller is not liable for delays caused by carriers, customs authorities, or external factors.
 The Seller’s responsibility is limited to booking and dispatching the transport.

3. Import Duties, VAT and Customs Clearance

The Buyer is solely responsible for:
 - Import VAT,
 - Customs duties, taxes, or charges applicable in the Buyer’s country,
 - Any required import documentation, certificates, or permits.
 The Seller does not cover or refund any import-related costs.

4. Inspection and Acceptance

The Buyer must inspect the goods immediately upon delivery.
 Any visible damage or discrepancies must be reported at the time of receipt and documented on the carrier’s delivery note.
 After delivery, the goods are considered accepted in full, and the Seller is not responsible for any issues arising afterward.

5. Limitation of Liability and hold harmless clause

The Seller’s maximum liability for any claim relating to the sale or delivery of Dr. Norum’s Surgical Field Light shall not exceed the net purchase price of the product, and in any case not exceed NOK 5 000 000.
 The Seller shall not be liable for:
 
 - Operational downtime or loss of revenue,
 - Delays caused by transport providers or customs,
 - Damage occurring after delivery.

In respect of any delivery or service made or delivered, the liability of Bulldozer Film shall be limited to direct losses only. Any and all consequential or indirect damages, such as loss of profit, shall be excluded. Bulldozer Film is only liable in respect of parts or services provided by its sub-suppliers to the extent Bulldozer Film may make the same claim against such sub-supplier.

The customer shall indemnify and hold harmless Bulldozer Film for any loss or claim from third parties in excess liability cap in this section. 

All handling and use of the products is on the customers own risk and at its own cost.

No warranties are provided beyond those required by Norwegian law.

6. Fitness for Purpose and Regulatory Compliance

The Buyer is solely responsible for ensuring that the product is suitable for the intended use, including any medical, surgical, field, humanitarian, emergency, or operational environment.
 The Seller makes no guarantee regarding:
 - Certification or regulatory approvals in the Buyer’s jurisdiction,
 - Suitability for clinical or surgical procedures,
 - Compliance with local standards or documentation requirements.

7. Retention of Title

Ownership remains with Bulldozer Film AS until full payment has been received.
 This does not affect the transfer of risk as defined in section 1 above

8. Governing Law and Jurisdiction

These terms are governed by Norwegian law.
 Any dispute shall be settled exclusively by the courts of Norway, with Oslo District Court as the agreed venue.

9. Liability for Use in Medical or Surgical Environments (Patient Safety Clause)

The Buyer acknowledges and agrees that Dr. Norum’s Surgical Field Light is sold “as-is” and must be used under the full responsibility of qualified medical personnel.
 
 Bulldozer Film AS shall not be liable for any injury, harm, or adverse event to patients, medical staff, or third parties arising from:
 - Improper use of the product,
 - Use outside the specifications provided by the Seller,
 - Use in surgical, clinical, emergency, or field environments without proper evaluation by the Buyer,
 - Failure to maintain, install, or operate the product in accordance with applicable medical standards,
 - Integration with other medical equipment,
 - Modifications, adjustments, or repairs not approved by the Seller, or
 - Any negligence or malpractice by medical personnel.
 
 To the fullest extent permitted by law, the Seller’s liability shall not include:
 - Patient injury or medical complications,
 - Surgical errors,
 - Infection, burns, mis-illumination, shadows, or visibility issues,
 - Loss of life or long-term harm resulting from medical procedures,
 - Any consequential or indirect damages related to clinical use.
 
 The Buyer is solely responsible for:
 - Assessing whether the product is suitable for medical or surgical procedures in its jurisdiction,
 - Ensuring compliance with all local regulatory, clinical, safety, and certification standards,
 - Training users and ensuring qualified operation,
 - Implementing appropriate risk management procedures.
 
 Under no circumstances shall the Seller’s liability exceed the net purchase price of the product.
